1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Kireva ("Company," "we," "us," or "our"), governing your use of our design services, website located at kirevadesign.com, and any related services, deliverables, communications, or materials provided by Kireva.

By engaging our services, submitting an inquiry, signing a project proposal, making a payment, or otherwise communicating your intent to work with Kireva, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not engage our services.

These Terms apply to all clients, visitors, and users who access or use our services. Where applicable, supplemental terms or project-specific agreements may be issued; in the event of a conflict, the project-specific agreement shall govern.

2. Description of Services

Kireva is a professional branding and design studio offering strategic branding, visual identity development, and digital design solutions. Our services include, but are not limited to:

  • Logo Design: Custom logo concepts, revisions, and delivery of final files in both print-ready and digital formats, including vector source files.
  • Brand Identity Design: Comprehensive visual identity systems encompassing logo design, color palette development, typography selection, and brand asset creation.
  • Brand Guidelines: Professional brand manuals establishing visual standards, usage rules, and consistency guidelines for internal and external application.
  • Website & Landing Page Design: Responsive, user-centered website and landing page design focused on conversion optimization and brand alignment.
  • UI/UX Design: Interface and experience design for web applications, SaaS platforms, and mobile applications.
  • Social Media Branding: Branded template systems, profile design, and social media kits for consistent digital presence.
  • Business Presentation Design: Pitch decks, investor presentations, and corporate reporting materials.
  • Marketing Materials Design: Print and digital collateral including brochures, flyers, business cards, and promotional materials.
  • Digital Advertising Creatives: High-performance ad creative assets for digital advertising platforms.
  • Brand Strategy & Consulting: Strategic brand positioning, market analysis, messaging development, and consulting services billed on an hourly basis.

All services are delivered remotely. Kireva operates exclusively online and collaborates with clients across the United States and internationally. Final deliverables are provided digitally via shared file platforms or email.

3. Client Eligibility

Our services are available to individuals, entrepreneurs, startups, and established businesses. By engaging Kireva, you represent and warrant that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction.
  • You have the legal authority to enter into a binding agreement on behalf of yourself or the entity you represent.
  • The information you provide during the engagement process is accurate, complete, and current.
  • Your intended use of our deliverables does not violate any applicable laws, regulations, or the rights of third parties.
  • You are not located in a jurisdiction subject to economic sanctions that would prohibit us from providing services to you.

Kireva reserves the right to decline any project request at its sole discretion without obligation to provide a reason.

4. Project Engagement & Process

All projects begin with an inquiry submitted through our website or via direct email communication. Upon receiving your inquiry, we will review your project requirements and respond within one business day.

Project Proposal: Following our initial consultation, Kireva will issue a written project proposal outlining the scope of work, deliverables, timeline, pricing, and payment terms. The project shall not commence until the Client has accepted the proposal in writing (including by email or digital acknowledgment) and the initial deposit has been received.

Project Brief: Upon project commencement, the Client will be required to complete a detailed project brief or participate in a discovery session. The accuracy and completeness of the information provided in the brief directly impacts the quality and relevance of the work produced. Kireva shall not be responsible for outcomes arising from incomplete, inaccurate, or misleading information provided by the Client.

Timeline: Project timelines are estimates provided in good faith. Kireva will make every reasonable effort to meet agreed-upon deadlines. Delays caused by the Client, including but not limited to late feedback, approval delays, or failure to provide required materials, shall automatically extend the project timeline accordingly.

Communication: All project communication shall be conducted professionally via email or designated project management platforms. Kireva's standard response time for project communications is one to two business days.

5. Fees, Payment & Billing

Pricing: All prices are listed in United States Dollars (USD). Published pricing is subject to change. The price applicable to your project is the price confirmed in your written project proposal.

Deposit Requirement: All projects require a non-refundable deposit of fifty percent (50%) of the total project fee prior to the commencement of any design work. The remaining balance is due upon delivery of the final approved files, unless otherwise specified in the project proposal.

Hourly Services: Brand Strategy & Consulting services are billed at $150 per hour. Time is tracked and billed in 30-minute increments. Estimates of hours required are provided in good faith but are not binding.

Additional Work: Any work requested that falls outside the agreed scope of the project proposal constitutes additional work and will be billed separately at agreed-upon rates. Kireva will notify the Client before proceeding with out-of-scope work.

Late Payments: Invoices are due within the timeframe specified in the project proposal. Accounts not settled within fourteen (14) days of the due date may incur a late fee of 1.5% per month on the outstanding balance. Delivery of final files and project completion is contingent upon receipt of full payment.

Taxes: The Client is responsible for all applicable taxes, duties, or levies imposed by their jurisdiction on services rendered. Kireva will charge applicable sales tax where required by law.

6. Revisions & Scope of Work

Included Revisions: Each project includes a specified number of revision rounds as outlined in the project proposal. A revision is defined as a reasonable modification within the established design direction, not a fundamental change in concept or direction.

Revision Process: Revision requests must be submitted in writing (via email or project management platform) with clear and consolidated feedback. Feedback provided verbally or in fragments may not be processed within the standard revision allowance.

Additional Revisions: Revisions beyond the included allowance will be billed at an hourly rate of $75 per hour, or at such other rate as agreed in writing prior to commencement of the additional work.

Direction Changes: A fundamental change in design direction, concept, or project scope after initial concepts have been presented constitutes a scope change and may require a revised proposal and additional fees.

Client Approval: Final approval by the Client constitutes acceptance of the deliverables. Once final approval is granted and files are delivered, any subsequent changes will be treated as a new project or billable revision.

7. Intellectual Property Rights

Transfer of Rights: Upon receipt of full payment for the project, Kireva assigns to the Client full and exclusive ownership rights to the final approved deliverables, including all design files in the formats specified in the project proposal. This assignment does not extend to preliminary work, rejected concepts, or deliverables not included in the final agreed scope.

Third-Party Elements: Our designs may incorporate licensed fonts, stock imagery, icon libraries, or other third-party assets. In such cases, the Client is responsible for ensuring they obtain appropriate licenses for any such elements where required. Kireva will notify the Client of any third-party assets incorporated and their associated licensing requirements.

Portfolio Rights: Kireva reserves the right to display final approved deliverables in its portfolio, website, case studies, and promotional materials. Where a Client requires confidentiality, a written non-disclosure agreement must be agreed upon prior to project commencement.

Kireva's Retained Rights: Kireva retains ownership of all preliminary designs, concepts, rejected concepts, working files, and materials not included in the final delivered package. The Client acquires rights only to the final, approved, delivered files.

No Infringement Warranty: The Client warrants that all content, materials, briefs, trademarks, and other intellectual property provided to Kireva for use in the project are owned by the Client or that the Client has the legal right to use them. The Client shall indemnify Kireva against any claims arising from the Client's intellectual property.

8. Confidentiality

Both parties acknowledge that in the course of the project engagement, they may receive or have access to confidential information belonging to the other party. Each party agrees to:

  • Hold confidential information in strict confidence.
  • Not disclose confidential information to any third party without the prior written consent of the disclosing party.
  • Use confidential information solely for the purposes of fulfilling obligations under these Terms.
  • Protect confidential information with the same degree of care used to protect its own confidential information, but in no event less than reasonable care.

Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, is already known to the receiving party prior to disclosure, is independently developed by the receiving party, or is required to be disclosed by applicable law or court order.

9. Client Responsibilities

To enable Kireva to deliver high-quality work efficiently, the Client agrees to:

  • Provide timely, clear, and constructive feedback within the timelines outlined in the project proposal.
  • Provide all necessary materials, information, and access required for the project in a timely manner.
  • Designate a single point of contact with authority to approve designs and make project decisions.
  • Ensure that feedback is consolidated and provided in a single communication to avoid contradictory or piecemeal instructions.
  • Inform Kireva of any changes in project requirements, business direction, or relevant factors that may affect the project.
  • Make payments in accordance with the agreed payment schedule.
  • Not use any work-in-progress materials for any commercial purpose until full payment has been received and rights have been formally transferred.

Failure by the Client to fulfill these responsibilities may result in project delays, additional fees, or termination of the engagement by Kireva.

10. Warranties & Representations

Kireva's Warranty: Kireva warrants that all services will be performed in a professional and workmanlike manner, consistent with industry standards and the agreed project brief. Kireva does not warrant that the final deliverables will achieve any specific commercial outcome, including but not limited to increased sales, brand recognition, or market share.

No Guarantee of Results: Branding and design are creative disciplines. While we bring expertise and experience to every project, we cannot guarantee specific business outcomes, third-party approvals, trademark registrations, or the future success of any brand or product.

Disclaimer of Warranties: Except as expressly stated herein, Kireva provides all services on an "as-is" basis and disclaims all other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Kireva's total liability to the Client for any claims arising under or in connection with these Terms, the project agreement, or the services rendered shall not exceed the total fees paid by the Client to Kireva for the specific project giving rise to the claim.

In no event shall Kireva be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or data loss, even if Kireva has been advised of the possibility of such damages.

This limitation of liability applies to all claims, whether based in contract, tort, negligence, strict liability, or any other legal theory.

12. Indemnification

The Client agrees to indemnify, defend, and hold harmless Kireva, its principals, employees, contractors, and agents from and against any and all claims, demands, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • The Client's breach of these Terms or any project agreement.
  • The Client's violation of any applicable laws or regulations.
  • The Client's use of the deliverables in a manner not authorized by these Terms.
  • Any intellectual property infringement arising from materials provided by the Client.
  • Any third-party claims arising from the Client's business, products, or services.

13. Termination

Termination by Client: The Client may terminate a project engagement at any time by providing written notice to Kireva. Upon termination, the Client shall pay for all work completed up to the date of termination. The initial deposit is non-refundable. Any work completed beyond the deposit value must be paid in full prior to delivery of any completed files.

Termination by Kireva: Kireva reserves the right to terminate any project engagement immediately and without liability if:

  • The Client fails to make required payments within the agreed timeframe.
  • The Client acts in a manner that is abusive, threatening, or disrespectful toward Kireva's team.
  • The Client requests work that violates applicable laws, infringes third-party rights, or conflicts with Kireva's ethical standards.
  • The Client fails to provide required materials or feedback for a period exceeding sixty (60) days.

Effect of Termination: Upon termination, the Client shall immediately cease use of any work-in-progress materials. Intellectual property rights in delivered work remain subject to full payment being received.

14. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or any project engagement, the parties agree to first attempt to resolve the dispute through good-faith negotiation and direct communication. Either party may initiate this process by providing written notice of the dispute to the other party.

If the parties are unable to resolve the dispute through negotiation within thirty (30) days of the written notice, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Larimer County, Colorado.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.

The parties expressly waive their right to bring any dispute as a class action or collective proceeding.

15. Governing Law

These Terms and any project agreement between Kireva and the Client shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its conflict of law provisions.

For any claims not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Larimer County, Colorado.

16. Changes to Terms

Kireva reserves the right to modify these Terms at any time. When changes are made, we will update the "Last Updated" date at the top of this document. For material changes, we will make reasonable efforts to notify active clients via email or direct communication.

Your continued engagement with Kireva following the posting of revised Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically. These Terms were first published on July 1, 2026.
